Business Overview:
This Company has spent roughly a decade building a deterministic endpoint security platform for Windows that controls what software is allowed to do, rather than trying to recognize what looks malicious. Three progressively deeper controls work together in a single lightweight agent: application allow listing decides what may run, in-memory execution-path enforcement learns the legitimate paths software takes to sensitive operating-system functions and holds it to them, and execution governance controls what trusted applications may launch, change and reach across their full process chain.
AI-agent governance is available in the current release and in customer pilots: it governs AI assistants and AI coding agents at the operating-system level, so an agent that is deceived by a malicious prompt still cannot disable defenses, delete recovery data or plant persistence. The platform complements existing EDR and XDR tools, is mapped to NIST, MITRE ATT&CK and CIS frameworks, and is delivered through a hosted, multi-tenant console built for managed service providers. Licensing is a monthly subscription priced per protected endpoint and sold through MSP and reseller partners.
More than 3,100 agents have been installed to date, including thousands at a university during a federally funded research program, with application overhead of 2.1% or less in 2022 lab tests (current builds show lower overhead, with updated measurements to follow) and no reported performance complaints. The platform is live today at 10 organizations through an Asia-Pacific channel partner, every early customer has stayed, and one MSP partner plans to onboard 50 more client companies. The leadership team brings deep endpoint security pedigree, with prior technologies acquired by major security vendors and inventorship on 11 issued patents from prior roles. The founders have focused on engineering rather than sales, so revenue is modest today, which makes this a technology, IP and team acquisition for a buyer with the distribution to scale it.
The founders are looking for the right strategic acquirer or growth partner with the distribution and scale to take what they have built to the next level while demand for preemptive, AI-agent-aware security is accelerating. Confidentiality is a concern for the Seller as they seek just the right buyer, and so the location information provided in the ad is that of the broker, and not of the Business. Business location and name will be shared once a qualified Buyer prospect is vetted.

Property Features and Assets:

The Company operates with minimal overhead and no facility lease; development and support are handled by the founding team. The software is delivered as a lightweight Windows agent managed from a hosted, multi-tenant console, so no customer-side server infrastructure is required.

Physical facilities are not a material part of the transaction, and the platform and team can operate from a buyer's existing offices and hosting environment.

Market Competition and Expansion:

Competition: Endpoint security is crowded with detect-and-respond tools, application allow listing products and newer AI guardrail tools that inspect prompts and model outputs. Few, if any, combine allow listing, in-memory execution-path enforcement and context-aware governance of AI agents in one deterministic agent. The platform is positioned to complement, not replace, a customer's existing EDR or XDR investment, which makes it a natural addition to a larger security portfolio.

Growth & Expansion: Bundle the platform into an established EDR, XDR, zero-trust, RMM or MSP platform and sell it into an existing customer base; package AI-agent governance as a stand-alone offering; replicate the Asia-Pacific partner model across North America and Europe; lead with framework alignment into government, defense-industrial and financial markets; and extend the enforcement model to additional operating environments. A Company that is already in this space has an excellent opportunity to combine capabilities and streamline operations to grow both top line and bottom-line earnings.
