Business Overview:

This is not a cash-flow-based sale. The value is the ability to operate immediately within an established, licensed mortgage company framework in NY, NJ, and FL, under an active NMLS structure, while expansion and long-term transition planning are pursued in parallel. 1. Platform Acquisition & Entry Structure A. Enterprise Platform Fee $125,000 one-time platform acquisition fee · Paid upon execution of definitive agreements · Secures control of the operating mortgage framework · Reflects regulatory standing, infrastructure, and speed-to-market · Provides immediate ability to integrate mortgage services into your advisor network This fee is not based on historical cash flow. It reflects enterprise access, licensing continuity, and strategic positioning. 2. Ongoing Role & Compensation Given that I will serve as Qualifier and Broker of Record, compensation is structured as follows: A. Base Compensation: $7,500 per month · Begins upon commencement of operations · Fixed compensation, not tied to production · Covers regulatory oversight, supervisory responsibility, expansion strategy, and executive-level involvement This reflects the compliance exposure and regulatory accountability associated with multi-state mortgage licensing. B. Production Participation In addition to base compensation: A mutually agreed percentage of gross revenue (or basis points per funded loan suggested at .50 basis pts. per closed loan) This aligns incentives and reflects my role in: · Structuring the mortgage platform · Supporting advisor integration · Overseeing regulatory compliance · Assisting with lender relationships and growth strategy · Guiding multi-state expansion Participation would remain in effect during my tenure as Qualifier and Broker of Record. 3 Operations, Control & Revenue Your organization will have full operational control from day one, including: · Staffing and hiring · Sales management and advisor onboarding · Marketing and branding · Lender and vendor relationships · Day-to-day management Revenue flows through the operating entity. Compensation to me is limited to the base and agreed participation structure. My role is executive, regulatory, and strategic — not daily loan production management, but I am willing to assist. 4. Ongoing Operating Expenses All ongoing operating expenses will be borne entirely by the Sandbox wealth, including but not limited to: · Office or virtual office costs · E&O insurance and required surety bonds · Telephone and communications systems · CRM and advisor integration platforms · LOS (including LendingPad or equivalent) · Microsoft Outlook / email hosting · Website hosting and maintenance · Vendor contracts · Any other operational costs required to run the business The intent is that the owner will not subsidize operating overhead during the build-out phase. 5. Compliance, NMLS & Regulatory Reporting The company is subject to ongoing regulatory obligations, including: · Quarterly NMLS Mortgage Call Reports · Annual NMLS renewals and financial filings · State-specific filings with banking departments Accordingly: · A third-party compliance provider will be engaged · All compliance and regulatory costs will be borne by the company · The compliance firm may be selected by you, subject to regulatory adequacy This protects both parties and ensures reporting accuracy. 6. Existing Licensed States & Approval Timelines The company is currently licensed in: · New York – ownership approval typically 18–24 months · New Jersey – approximately 4–9 months · Florida – approximately 6–12 months New York generally governs the overall ownership approval timeline. Operations may continue during the approval process under the existing license and qualifier structure. 7. Legal & Regulatory Costs The company will be responsible for all legal, regulatory, and filing costs related to: · Ownership change applications · NMLS and state filings · Background checks and regulator inquiries · Multi-state expansion I will cooperate fully but will not be responsible for out-of-pocket regulatory or legal expenses. 8. Existing Obligation There is an outstanding SBA/EIDL loan of approximately $48,000 To be paid by buyer at closing seperate from platform fee. 9. Long-Term Transition Plan The long-term objective is a structured transition over the next 2–3 years. At that time: · A successor qualifier may be installed · Ownership control can be fully transitioned · My compensation may convert to a buyout or advisory arrangement This ensures clarity and succession planning from the outset.
