Business Overview:

Founded in 2014, this Commercial Speciality Construction Company is a premier Division Ten Speciality contractor headquartered in the North Texas area. The company is a qualified minority business enterprise that benefits from its minority status. Examples of Division Ten Specialities include restroom fixtures and partitions, lockers, bike racks, towel dispensers, fire extinguishers, and corresponding cabinetry and other types of traditional Division Ten products. This company also installs office kitchen appliances which produce a much higher margin than other products that are installed. Low fixed costs. The Company relies on subcontractors to perform installation services on its contracts. A high variable cost structure reduces fixed overhead and the business risk of its operation. With more than a handful of installation subcontractors with whom the Company works regularly, the Company is not dependent on any of these subcontractors.

Property Features and Assets:

The proposed transaction price is $1.5 million. This includes all Company assets, including accounts receivable, inventory, equipment, contract backlog, contractor relationships, trade name, brand, and all other business intangibles. The owner will entertain a variety of transaction structures, including either an equity or asset sale, and would prefer to finance no more than 10% of the sales price through a promissory note that would be subordinated to an SBA Loan.  The owner’s responsibilities include the oversight of the organization, and its employees, and the supervision of the independent installation subcontractors. Staff members include a project manager, two assistant project managers, an accountant, and the head estimator and their assistant. There are six subcontracted crews for product installations at project sites.

Market Competition and Expansion:

The Company has grown consistently since it was founded in 2014. The Company has an established reputation that now has between twenty and thirty general contractors regularly inviting it to bid as the speciality construction services subcontractor on their projects. The Company can significantly expand its operation in its local market. They could leverage North Texas stag to enter new markets throughout Texas. The company can enter new markets with as little as a single employee for marketing and sales and overseeing subcontracted installations.
