Business Overview:

A certified, Medicaid-enrolled developmental disabilities services agency platform in Northeast Ohio, offered with its licenses, contracts, referral relationships, systems, and goodwill. The Company is an Ohio limited liability company certified by the Ohio Department of Developmental Disabilities (DODD) as an agency provider of Home and Community-Based Services (HCBS), approved for up to 50 individuals (adults and children). Certified services: Homemaker/Personal Care (24-hour and shift-based), Shared Living, and Participant-Directed HPC, with residential respite added. The current certification span runs through June 30, 2027. PLEASE NOTE — CURRENT OPERATING STATUS: The Company is not currently serving clients and is not generating income. The owner recently began maternity leave and is stepping away from the business to raise her first child. This is the sale of a certified agency platform — licenses, contracts, contacts, systems and goodwill— together with the potential to rebuild income based on prior-year performance. A buyer must be prepared to build a client census and fund the ramp-up. Historical performance (first full operating year): 2025 gross receipts of $ 354,918 and Seller’s Discretionary Earnings of $249,387, per the filed 2025 Form 1120-S (about 76% of receipts came directly from Ohio Medicaid/DODD waiver payments). 2025 figures are historical and are not an indication of current or future income. What the sale includes: DODD agency certification and active Ohio Medicaid enrollment, held by the entity; county provider and service agreements and a county children-services respite agreement (through December 2026; assignment restricted); county board portal access, LiveCare Marketplace and county agency referral relationships; policies, compliance and training materials; billing and documentation workflow; brand and goodwill; and some furnishings. A sale of the LLC membership interests best preserves the certification and contracts.

Property Features and Assets:

Services are delivered in residential homes and in individuals’ own homes. No real estate is included in the sale.

Barriers to entry are real: DODD certification and a Medicaid provider agreement, a qualified Director of Operations, $1M liability coverage, a $10K credit line or 90-day bank balance, workers’ comp, written policies, background checks and training, plus time to build county referral relationships. This agency already holds the certification, enrollment, policies and referral access, so a buyer skips most of that setup.

Market Competition and Expansion:

  1. Rebuild the census. The agency is approved for up to 50 individuals without reclassification. In 2025 it served three. Referral channels include LiveCare Marketplace and numerous county board portals. This is the main lever, and it requires placements, staffing, and housing.
  2. Add certified services. A certified agency can add services such as adult day support or vocational habilitation through DODD’s approval process. The seller reports adult day and similar services were not added by preference, not because of any barrier.
  3. Grow county respite work. The agency has a county children-services respite agreement and reports negotiated rates of about $250 to $792 per day. A reserved bed or on-call roster could support more placements. The agreement runs through December 2026, so renewal should be confirmed.
  4. Cover more counties. Enroll in additional county portals and assign one coordinator to referral follow-up.
