Business Overview:

For sale is an online retailer selling vitamins for farm animals, mostly chickens. The barriers to entry are the cost saving of huge orders, the global vendor contacts, and the massive inventory they have to hold on hand to carry the long shipping delays of their suppliers. Not to mention a reputation people can trust when injecting their products into their animals.

The sellers are a husband, wife and the wife's sister. But the husband's job has demanded more of his time and the sisters are working almost 7 days a week now and feel that selling the business is the best thing to do right now, they just don't know where to go from here. Back in 2019 this business was doing about $50k a month in revenues, now they are selling almost $250k a month with mark-ups of 2-2.5x, selling $1 of cost for $2.33.

The website is a very basic website written in broken English. There is a ton of room for improvement for the right buyer.

I don't want to waste anybody's time so let's lose this job in the interview as they say. You know there are problems with every business so let's just get these out in the open. The seller's are not willing to carry a note and no bank is going to lend on this. The tax returns are not up to snuff and they have no P&L and no balance sheet. The $500k advertised cashflow is just their guess on the bottom line but you can see the math checks out. On top of that there is massive inventory, about $500k (their guess on what you would make after hiring 3 full time employees to replace them). That means we're asking you to bring $1.5M cash to the table.

We realize this is asking a lot for an offer so we plan on taking qualified buyers on a tour of the shop and showing anything and everything you'd like to skim over including bank statements, invoices, orders, vendors, etc. As a broker for Transworld I must be very careful not to produce documents for the seller for liability reasons but I am very tempted to just build them a P&L. With business experience I think you should be able to get some comfortable napkin math so you can walk into due diligence with eyes wide open.
